What documents do I need?

Gather everything before your appointment and avoid back and forth. Find your procedure and review the corresponding checklist.

Checklists by procedure type

Company formation
  • Three proposed names for the company name
  • Current official IDs of all partners
  • Company address (contract, receipt, or landlord letter)
  • Definition of corporate purpose and participation percentages
  • CURP or RFC when applicable to partner legal entities
  • Tax address proof for each partner
Formation with foreign investment / branch
  • All of the above plus:
  • Apostilled or legalized constitutive documents of foreign companies
  • Translation to Spanish by authorized expert
  • Power of attorney of the representative in Mexico (if someone other than the partner signs)
  • Description of economic activity and main business
Assembly minutes
  • Recent certified copy of the registered formation record
  • Latest registered amendment records
  • Official IDs of those who will appear
  • Updated shareholder list (registration book)
  • Agenda items to be approved
  • Financial statements if results will be approved
Granting or revocation of powers of attorney
  • Certified copy of formation record and amendments
  • Official ID of grantor and attorney-in-fact
  • Complete data of attorney-in-fact (name, CURP, address)
  • List of powers to be delegated or revoked
  • Internal resolution supporting the appointment
Record of events / delivery-receipt
  • Exact address where the event will be verified
  • Tentative date and time of the diligence
  • Official ID of the requester
  • Contract or document that originates the diligence
  • Access to the property or asset to be documented
Valuation (company, assets, or intangibles)
  • Financial statements from the last 2-3 fiscal years
  • Inventory of assets to be valued with photographs
  • Deeds or property titles of the asset
  • Current relevant contracts (clients, licenses)
  • Reason for valuation (sale, credit, litigation, insurance)

Foreign documents

Must be apostilled or legalized and translated to Spanish by an authorized expert before your appointment.
